Terms & Conditions
Last Updated: 10 May 2025 · Effective: 10 May 2025
TABLE OF CONTENTS
These Terms and Conditions set out the basis on which Linspire provides consulting services and makes this website available. Please read them carefully. By enquiring about, engaging, or using our services, you agree to these terms. If you have any questions before proceeding, contact us at [email protected].
1. Scope and Acceptance
These terms apply to all consulting engagements entered into with Linspire, a people management consultancy registered and operating in Malaysia (Lebuh Chulia 76, 10200 Georgetown, Penang). They also govern use of this website and any written materials or deliverables we provide.
An engagement begins when both parties have confirmed the scope, fees, and timing in writing — typically by email or a signed engagement letter. Where these terms and a specific engagement letter conflict, the engagement letter takes precedence.
By submitting an enquiry through this website, you confirm that you have read and understood these terms and are authorised to enter into commitments on behalf of your organisation.
2. Our Services
Linspire offers the following consulting engagements:
- Hiring Conversation Guide — a structured engagement to help your organisation run more consistent interview conversations. Includes a tailored question framework, a calibration sheet, a half-day workshop, and a printed guide. Priced at MYR 720.
- Manager Peer Coaching Group — a fortnightly facilitated group for four to six mid-level managers from the same company, running over a twelve-week cycle. Includes a written closing summary for each participant. Priced at MYR 2,600.
- Operating Rhythm Design — a consulting engagement to help leadership teams establish a structured operating rhythm. Includes team lead interviews, a written rhythm map, a working session, and a follow-up note. Priced at MYR 4,350.
All services are delivered in English. If you have specific language requirements, discuss them with us before the engagement begins.
We do not provide legal advice, financial advice, psychological counselling, or any regulated professional service. Our work concerns organisational and people management practice only.
3. Engagement and Delivery
We will discuss the scope, format, and timing of your engagement before any work begins. Delivery timelines and session schedules are agreed in writing and form part of the engagement.
We typically expect participants to be present and prepared for sessions. If a session cannot proceed due to circumstances on your side (for example, key participants being unavailable), we will work with you to reschedule. Repeated unavailability may affect our ability to complete the engagement within the agreed timeline.
Linspire engagements involve collaborative working. You agree to provide timely access to relevant information, individuals, and materials necessary for us to deliver our work. If access is not available, we cannot be responsible for delays or gaps in the final deliverable.
Written deliverables — guides, rhythm maps, coaching summaries, and similar documents — are provided in digital format unless a printed version is specified in the engagement scope. We retain a copy of all deliverables for our records.
4. Fees and Payment
Our fees are as stated at the time of engagement confirmation. All fees are in Malaysian Ringgit (MYR) and are exclusive of any applicable taxes, unless stated otherwise.
Payment terms will be set out in your engagement letter or invoice. We typically require:
- A portion of the fee on confirmation of engagement (this will be specified in your invoice)
- The balance on completion of the engagement or as otherwise agreed in writing
Invoices are payable within 14 days of the invoice date unless a different timeline is agreed in writing. Late payment may result in work being paused until the account is settled.
We reserve the right to revise our fees for new engagements. Fees will not change during an engagement that has already been confirmed in writing.
5. Cancellation and Rescheduling
If you need to cancel or postpone an engagement, please notify us as early as possible. The following general guidelines apply, subject to what is agreed in your engagement letter:
- Cancellation more than 10 working days before commencement: Any deposit paid will be returned less any preparation costs already incurred.
- Cancellation within 5–10 working days of commencement: The deposit is forfeited. No further charges apply if no work has been delivered.
- Cancellation within 5 working days of commencement, or mid-engagement: Fees for work already completed or materially prepared are payable in full.
Linspire reserves the right to cancel or reschedule an engagement due to unforeseen circumstances. In such cases, we will provide as much notice as reasonably possible and will offer a rescheduled date or a full refund of any amounts paid.
Rescheduling of individual sessions within a running engagement (for example, a peer coaching session) is handled by mutual agreement via email and does not constitute cancellation of the engagement as a whole.
6. Intellectual Property
All frameworks, templates, methodologies, and general working materials created or used by Linspire remain our intellectual property, unless we have agreed in writing to transfer ownership.
Documents produced specifically for your engagement — such as your tailored question framework, rhythm map, or coaching summary — are provided for your organisation's internal use. You may adapt and use these materials within your organisation without restriction. You may not resell, sublicense, or present them externally as your own original work.
All content on this website — text, structure, and design — is the property of Linspire. You may not reproduce it without our written consent.
7. Confidentiality
Both parties agree to treat information shared during an engagement with appropriate discretion. Linspire will not share identifiable information about your organisation or individuals within it with third parties, except where required by law or where you have given explicit written consent.
We may use anonymised, non-identifiable observations from our engagements to inform our own professional practice and written materials. No individual or organisation will be identifiable in any such use.
If your organisation operates under specific confidentiality agreements or policies, let us know at the outset and we will accommodate reasonable requirements in writing.
8. Personal Data
We handle personal data in accordance with Malaysia's Personal Data Protection Act 2010 (PDPA). Our Privacy Policy explains in full how we collect, use, store, and protect personal data.
By engaging with us, you confirm that any personal data about employees or colleagues that you share with us has been shared with appropriate authority and that those individuals have been informed as required under applicable law.
9. Limitation of Liability
Linspire's work involves guidance, facilitation, and written deliverables. We take care to provide considered, well-grounded work. However, the outcomes of any people management decisions rest with you and your organisation.
We do not accept responsibility for decisions made on the basis of our advice, materials, or sessions. The application of our work to your specific circumstances is your responsibility.
Our total liability to you in connection with any engagement is limited to the fees actually paid for that engagement. We are not liable for any indirect or consequential losses.
Nothing in these terms limits liability that cannot be excluded under Malaysian law.

11. Governing Law
These terms, and any engagement with Linspire, are governed by the laws of Malaysia. Any disputes that cannot be resolved informally between the parties will be subject to the jurisdiction of the courts of Malaysia.
We prefer to resolve any concerns through direct conversation. If something has not gone as expected, please contact us first and we will do our best to address it promptly.
